The Warren Group is committed to the highest standards of corporate governance, ethical conduct, and operational integrity across all six operating agencies.
1. Governance Framework
The Warren Group operates under a governance framework designed to ensure accountability, transparency, and alignment of interests across the organization. Our framework is built on the following principles:
- Clear delineation of responsibilities between leadership and operating agencies
- Regular review and oversight of strategic decisions
- Transparent communication with stakeholders
- Continuous improvement through structured feedback and accountability
2. Leadership Structure
The Warren Group is led by its Managing Partners, who collectively oversee strategic direction, capital allocation, and cultural standards. Each operating agency is led by a designated specialist responsible for day-to-day performance, while reporting to the executive leadership for alignment with company-wide objectives.
3. Board of Advisors
The Warren Group maintains a Board of Advisors comprised of experienced professionals across real estate, finance, law, technology, and community development. The Board provides strategic guidance and independent perspective to support long-term decision-making.
4. Code of Ethics
All personnel — from executives to contractors — are expected to conduct business with the highest levels of integrity. Our Code of Ethics prohibits:
- Conflicts of interest without prior disclosure and approval
- Misrepresentation of services, products, or financial information
- Acceptance of improper gifts, kickbacks, or inducements
- Discrimination or harassment of any kind
- Retaliation against individuals reporting concerns in good faith
5. Conflict of Interest
Given our vertically integrated model, The Warren Group takes special care to identify and manage potential conflicts of interest. All transactions involving affiliated agencies are conducted at arm's length, with appropriate disclosures, documentation, and review. Personnel with actual or perceived conflicts must disclose them promptly to leadership.
6. Compliance
The Warren Group complies with all applicable federal, state, and local laws governing real estate, lending, construction, and business operations — including but not limited to:
- NMLS licensing requirements for our lending activities
- California Department of Real Estate (DRE) regulations
- Fair Housing Act and anti-discrimination laws
- Building codes, zoning laws, and environmental regulations
- Data privacy and consumer protection laws
7. Risk Management
Risk management is embedded across every agency. We maintain processes to identify, assess, and mitigate financial, operational, legal, and reputational risks. Regular reviews ensure that our risk posture aligns with our strategic objectives and stakeholder expectations.
8. Reporting & Whistleblower Protection
Anyone — employees, contractors, partners, or the public — may report concerns regarding unethical behavior, legal violations, or breaches of these guidelines. Reports can be submitted confidentially to compliance@thewrngroup.com. The Warren Group strictly prohibits retaliation against any person who reports concerns in good faith.
